xengo is a product and trading name of Synvu Limited, a company registered in the United Kingdom with company number 15761962. The registered office address of Synvu Limited is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. All references to “xengo,” “we,” or “our” in these Terms refer to Synvu Limited.

Welcome to xengo. These Terms of Service ("Terms") govern your access to and use of the xengo platform, including our URL shortening, QR code generation, link tracking, real-time notifications, custom branding, analytics, and integrations (collectively, the "Services"). By creating an account, accessing or using any part of the Services, you agree to be bound by these Terms. If you're using xengo on behalf of a business or other legal entity, you represent that you have authority to accept these Terms on their behalf.

1. Use of Services

xengo grants you a non-exclusive, non-transferable, revocable license to use the Services for personal or business purposes in accordance with these Terms and our Acceptable Use Policy. You agree not to:

• Use the Services to distribute spam, malware, or unlawful material
• Reverse engineer, decompile, or otherwise attempt to derive the source code
• Use the Services to build a competing product
• Circumvent limits imposed by your account plan

We reserve the right to monitor usage for abuse or policy violations and to suspend or terminate access for violations.

2. Accounts & Security

You are responsible for your account credentials and any activity under your account. You agree to:

• Provide accurate and current information
• Notify us immediately if you detect unauthorized access or misuse
• Not share login credentials with others

xengo may suspend access or reset credentials if we believe your account is compromised.

3. Inactive Freemium Accounts

Accounts on the free or freemium plan that remain inactive (i.e., no login or activity) for 28 days may be automatically deleted, including associated links and analytics. Paid accounts are not subject to this policy.

4. Acceptable Use Policy

You may not use xengo to create, share, or distribute content or perform actions that:

• Are illegal, fraudulent, deceptive, or misleading
• Infringe or violate the intellectual property, privacy, publicity, or other rights of others
• Are harmful, threatening, abusive, harassing, vulgar, obscene, or defamatory
• Contain malware, spyware, or other malicious code
• Collect personal information without consent, including via phishing or tracking tools
• Promote spam, chain letters, pyramid schemes, or any unsolicited advertising
• Impersonate any person or entity or misrepresent your affiliation
• Use xengo to host or redirect to child exploitation, terrorist content, or violent extremism

Additionally, you may not:

• Attempt to probe, scan, or test the vulnerability of any system or network
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems
• Use automated means (e.g., bots, scrapers) without express permission
• Resell, sublicense, or redistribute xengo links or services without our written consent

xengo may monitor usage and take immediate action—including link removal or account suspension—if your activity poses a legal, reputational, or security risk.

We reserve the right to remove any links or content, suspend or terminate accounts, and take legal or technical action in response to violations. Repeated or severe breaches may result in permanent bans or legal escalation. You agree not to:

• Use the Services in any manner that violates applicable laws, regulations, or third-party rights
• Circumvent, disable, or interfere with security features or access restrictions
• Access, tamper with, or use non-public areas of the Service or our systems without authorization
• Use the Services for benchmarking, scraping, or competitive analysis without written consent
• Reproduce, duplicate, copy, sell, trade, or resell the Services or any portion thereof for commercial purposes

xengo-inspired clarification: xengo reserves the right to investigate any potential or suspected violations of this section and may cooperate with legal authorities, ISPs, and affected parties as needed. This includes preserving and disclosing content or account details if required by law, subpoena, or legal process.

By using the Services, you represent and warrant that your use and any Customer Content will not:

• Violate third-party intellectual property, data protection, publicity, or privacy rights
• Be misleading or create false impressions about the source or function of a link
• Contain any sensitive or regulated data unless permitted and secured under applicable laws

If you operate a business account, you are responsible for the actions of your employees, agents, or contractors who access the Services. You agree to ensure compliance with this policy and acknowledge that your organization may be liable for misuse by authorized users.

5. Link Visibility and Notifications

xengo provides real-time data and optional notifications when a link or QR code is clicked. These features may include:

• Email or webhook alerts (e.g., Slack)
• Click source (e.g., device, country)
• Fallback page previews before redirection (if enabled)

These tools are designed for transparency and engagement tracking. End users may see link previews depending on platform or settings.

6. Plans, Fees & Billing

xengo offers free and paid subscription tiers. By upgrading, you agree to:

• Pay all applicable fees for the selected plan
• Be billed on a recurring basis (monthly or annually)
• No refunds for partial periods or unused features unless required by law

We reserve the right to change pricing or feature access with notice prior to renewal. You may cancel at any time via your account dashboard.

7. Data Privacy & Processing

Your use of the Services is governed by our Privacy Policy, which outlines how we collect, store, and use personal data. xengo complies with global data protection laws including GDPR, and we operate as a Data Processor on your behalf in most cases.

We may process data such as:

• IP address, device type, and geolocation on link clicks
• Email addresses and account activity for communication and security
• Metadata on link creation and interactions

We do not sell personal data. You may request:

• A copy of your personal data
• Rectification of inaccurate data
• Deletion of your account and associated data

xengo may use sub-processors for infrastructure and analytics. All such providers are contractually bound to data protection obligations. If you are in the EU or UK, Standard Contractual Clauses (SCCs) may apply to safeguard cross-border transfers.

You are responsible for ensuring that your use of xengo complies with any privacy laws applicable to your audience or recipients of links you share. Your data is handled according to our Privacy Policy. xengo:

• Is GDPR-compliant
• Offers data access/export/deletion tools
• May process IP addresses and usage metrics to provide link analytics

We do not sell your personal data. You may request deletion of your account and associated data at any time.

8. Intellectual Property

xengo and its Services, including software, branding, and designs, are owned by us or our licensors. You may not:

• Copy or redistribute our platform features
• Modify or attempt to replicate our Services
• Use our trademarks without permission

You retain rights to your own content and links, but grant us a non-exclusive right to process and display them as part of the service.

9. Availability and Changes

We may add, change, remove, or suspend parts of the Services at any time. If discontinuing a major feature, we will make reasonable effort to notify affected users.

10. Termination

10.1 Term by Plan Type

These Terms remain in effect while you use the Services. For free users, the agreement may be terminated at any time by either party. For paid subscribers, the agreement remains in effect through the duration of your current billing period unless canceled according to the terms in Section 6.

10.2 Termination by xengo

xengo may terminate or suspend your access immediately, without notice, if we determine, in our sole judgment, that you:

• Have violated these Terms or our Acceptable Use Policy
• Have failed to make timely payment (for paid accounts)
• Pose a risk to the integrity or reputation of the Services
• Are subject to a legal or regulatory request or obligation requiring us to do so

10.3 Post-Termination

Upon termination:

• Your right to access the Services will cease immediately
• We may delete your data, including links and analytics, without liability
• If you are a paid user, no refund will be issued for the remaining subscription period unless required by law

We may retain limited metadata or logs for legal, security, or billing purposes where applicable. We reserve the right to suspend or terminate your account for violations of these Terms. You may cancel your account at any time.

• Upon termination, your access ends and we may delete your data
• Inactive free accounts may be purged after 28 days
• Paid accounts must cancel before renewal to avoid charges

11. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER LAW, XENGO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR FAILURE TO PROVIDE SERVICES
• COST OF SUBSTITUTE PRODUCTS OR SERVICES
• ERRORS OR OMISSIONS IN ANY CONTENT OR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. This limitation applies regardless of the form of the action and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you. xengo is provided "as is" without warranties of any kind. We are not liable for:

• Loss of data, revenue, or profits
• Service interruptions or errors
• Issues caused by third-party integrations

In no event will our total liability exceed the amount paid by you to xengo in the past 12 months.

12. Modifications to Terms

We may update these Terms. We will notify users of significant changes. Continued use of the Services after an update indicates acceptance of the new Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

13.1 Arbitration & Waiver of Class Actions

If you are located outside the European Union, you agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be resolved by binding individual arbitration under the rules of the London Court of International Arbitration (LCIA), rather than in court. You waive any right to a jury trial or to participate in a class action.

If you are an EU-based consumer, you retain the right to bring legal proceedings in your local jurisdiction.

13.2 Jurisdiction

If arbitration is not applicable or enforceable, you agree to submit to the exclusive jurisdiction of the courts in England and Wales for resolution of disputes. These Terms are governed by the laws of the United Kingdom, and you agree to the jurisdiction of the courts in England and Wales.
